Terms & Conditions

Welcome to Neutronyx Global Solutions. These Terms & Conditions (“Terms”), along with our Privacy Policy, form a legally binding agreement (“Agreement”) between you (“User,” “Client,” or “Customer”) and Neutronyx Global Solutions (“Company,” “we,” “our,” or “us”). By accessing our website, purchasing products, or engaging in our services , you agree to these Terms.

Scope of Services

We distribute semiconductors and electronic components to clients in India and internationally. Specific details of supply, pricing, and delivery are outlined in individual quotations, invoices, or agreements.

1. Applicability

  1. These Terms apply to all sales, distribution, and services of Neutronyx Global Solutions and its subsidiaries/affiliates, whether through our websites, offices, sales representatives, agents, or other authorized channels (“Sales Channels”).

  2. Both User and Neutronyx Global Solutions are individually referred to as a “Party” and collectively as “Parties.”

  3. Any product- or service-specific terms may supplement these Terms and will be communicated in writing.

2. Eligibility to Use

  1. The User must have the legal authority to enter into binding agreements under applicable law.

  2. By using our Sales Channels or engaging our services, the User confirms acceptance of these Terms. If you do not agree, you must refrain from using our services.

  3. All rights and liabilities of both Parties shall be governed solely by these Terms.

3. Orders, Pricing & Payments

  1. Order Confirmation: Orders are valid only after written acceptance by us.

  2. Advance Payment: Unless otherwise agreed, 100% advance is mandatory at the time of order confirmation. If any balance, when agreed in extraordinary cases, it must be paid before shipment or project handover.

  3. Payment Methods: Payments may be made via bank transfer or other approved methods.

  4. Taxes & Duties:

    • For Indian clients: GST and other applicable taxes will be levied as per Indian law.

    • For International clients: Duties, VAT, taxes, and customs charges may vary depending on the destination country and are the client’s responsibility.

  5. Late Payments: Delayed payments may attract additional charges and may pause or cancel services.

  6. All payments shall only be made to Neutronyx Global Solutions’ official bank accounts. We will never ask you to transfer funds to private accounts.

4. Delivery & Risk of Loss

  1. Delivery timelines are indicative and subject to availability, logistics, and unforeseen circumstances.

  2. Risk of loss passes to the User once goods are shipped from our facility.

  3. We are not responsible for delays caused by customs, courier services, or Force Majeure events.

5. Returns, Cancellations & Refunds

  1. Orders once confirmed by the customer in writing cannot be cancelled.

  2. Applicability of NCNR Policy: All orders placed with Neutronyx Global Solutions for semiconductor products, electronic components, or related goods are Non-Cancellable and Non-Returnable (“NCNR”), unless expressly agreed to in writing by Neutronyx Global Solutions at the time of order confirmation.

  3. Exceptions: In certain exceptional circumstances, cancellation requests may be considered only if submitted in writing and only if Neutronyx Global Solutions has not yet processed the order.

  4. Approval of such cancellations shall be at the sole discretion of Neutronyx Global Solutions.

  5. Special Orders & Custom Components: Orders for custom-built, special-order, or specially procured components are strictly NCNR with no exceptions. 

  6. Returns: Returns are not accepted under the NCNR policy. However, if a product is supplied in error or found to be defective upon delivery due to reasons solely attributable to Neutronyx Global Solutions, a replacement or credit may be arranged, subject to prior authorization and inspection at the company’s discretion. 

  7. Refunds, where applicable, will be processed only to the original mode of payment.

  8. Acknowledgment by Customer: By placing an order, the Customer expressly acknowledges and agrees to the NCNR policy as outlined above and waives any right to cancellation or return, except in cases explicitly allowed here.

6. Warranties & Liability

  1. Products are supplied as per manufacturer warranties (if any).

  2. Neutronyx Global Solutions does not provide warranties beyond those of the manufacturer.

  3. Our liability is limited to the invoice value of the goods/services provided. We are not liable for indirect, incidental, or consequential damages.

7. Intellectual Property & Content

  1. All trademarks, logos, text, graphics, images, and software on our Sales Channels are the property of Neutronyx Global Solutions or our licensors.

  2. No license is granted to use our intellectual property without prior written consent.

  3. Unauthorized use of our intellectual property may result in legal action.

8. User Responsibilities

The User agrees to:

  1. Provide accurate and complete information (billing, shipping, tax, or project details).

  2. Ensure compliance with local import/export regulations in their jurisdiction.

  3. Use purchased products in accordance with applicable laws and manufacturer guidelines.

9. Website Use & Security

  1. The Website is for lawful use only.

  2. Users shall not modify, copy, or misuse Website content.

  3. Registration may require providing personal details, which must be accurate.

  4. Users are responsible for maintaining the confidentiality of account credentials and notifying us of unauthorized access.

10. Communication & Data Usage

  1. We may contact Users via phone, email, or SMS regarding orders, payments, or updates.

  2. These communications are considered transactional and not unsolicited marketing.

  3. Users may opt out of non-essential communications by writing to us.

11. Force Majeure

We are not liable for any failure to perform due to causes beyond our control, including natural disasters, government restrictions, labor unrest, technical failures, or terrorism. In such cases, we may cancel or delay orders and provide refunds where applicable.

12. Right to Refuse Service

We reserve the right to:

  1. Refuse or cancel services at our discretion.

  2. Terminate User access to our Website or Sales Channels for violations of these Terms.

  3. Recover damages or take legal action against misuse, fraud, or misrepresentation.

13. Indemnification

The User agrees to indemnify and hold harmless Neutronyx Global Solutions, its directors, employees, and affiliates against any claims, damages, or liabilities arising from:

  • Breach of these Terms,

  • Misuse of our services or products, or

  • Violation of applicable laws.

14. Governing Law & Jurisdiction

  1. For Users in India: These Terms shall be governed by the laws of India, with jurisdiction in the courts of Udupi, Karnataka India.

  2. International clients agree to resolve disputes in  the above jurisdictions, depending on contract terms.

15. Modifications

We may update these Terms from time to time. Updated Terms will be posted on our website, and continued use of our services constitutes acceptance of the revised Terms.
